What is a limited liability corporation
What is a limited liability corporation?
A limited liability corporation is just another name for a limited liability company. A limited liability company, which is also called an LLC, is a business
structure that combines the pass through taxation of a partnership or sole proprietorship with the limited liability of a corporation.
Like the owners of a partnership or sole proprietorships the LLC owners have to report their business profits or losses on their personal income tax returns because the LLC is not a separate taxable entity. But unlike these owners if you own an LLC you are not personally responsible for the business debts and claims, you are protected from any personal liability unless you have given a personal guarantee, this is what is known as limited liability. Basically what this boils down to is that if somebody sues the LLC then only the assets of the business itself are at risk, your personal assets are considered safe. But what you want to keep in mind is that you can lose this protection of your assets if you act illegally, unethically, or irresponsibly.
But it is because of these features that many people say that a limited liability company is nothing more than a hybrid business structure that takes the best features of a partnership and a corporate business structure. Meaning this business structure combines these two forms of business, but only uses the best features from each form.
How many people do I need to form an LLC?
Many people wonder how many people you need to form a LLC because of the fact that it combines various business structures. The good news is that you only need one person to form an LLC and you can form an LLC in any state. But you can also have more than one owner when forming an LLC.
Who should form an LLC?
If you are concerned about personal exposure to lawsuits or debts arising from your business than you should seriously think about forming an LLC. A great example of this would be if you were opening up a store front business that deals directly with the public you might be worried about your commercial liability insurance not fully protecting your assets from customers suing you from slipping and falling or something else. So by forming an LLC your personal assets are protected from these types of claims and any others.
But something that you want to keep in mind before you decide to form an LLC is that not all business can operate as an LLC. Businesses that are in the banking, trust and insurance industry are generally prohibited from forming LLC?s in every state. Also in some states, including CA, there is a rule that prohibits professionals, such as accountants, doctors, architects and other professionals from forming an LLC. So if you are considered to be some kind of professional you want to check into your state laws to see if you can form an LLC or not.
How do you form an LLC?
This is going to vary depending on which state that you live, but for the most part this is a pretty universal process. All that you really need to do is to file an ?Articles of Organization? with your state?s LLC filing office. In most states this filing office is going to be a part of the Secretary of State?s Office. But in addition to filing the ?Articles of Organization? you are going to have to pay a filing fee. Keep in mind that some states refer to these forms as a ?Certificate of Organization? or a ?Certificate of Formation?. But no matter what it is referred to most states will provide a fill in the blank form for you to use and these only take a few minutes to prepare. You can get this form by mail or by downloading it from your state?s website, in the Secretary of State or corporation?s home page.
Some states will also require you to publish your intention to form an LLC in your local newspaper. The states that require this also require that you complete this step before you file your Articles of Organization. Some states, but not very many, will also require you to prepare an LLC Operating Agreement. And even if it is not required in your state it is still a good idea to prepare one. The reason that you want to do this regardless of your state requirements is because your Operating Agreement is going to spell out your business arrangements and it will also decide how your LLC is run. If you fail to create a written Operating Agreement then the LLC laws of your state will dictate how your LLC is run.
Do I need a lawyer to form an LLC?
The good news is that you do not need to have a lawyer to form an LLC, but if you want to use one you can. The reason that you don?t need to hire a lawyer is that the information that is required for the Articles of Organization is all non-technical information so it is easy enough for you to fill out on your own. Basically what the Articles of Organization include are the name of the LLC, the location of its main office, the names and addresses of the owners, and the name and address of the LLC?s registered agent. The registered agent is a person or company who agrees to accept legal papers on behalf of the LLC. Not to mention that since most states now provide downloadable forms and instructions the process to file for an LLC is even easier and the LLC offices even allow business owners to email them questions directly.
Does my LLC need an operating agreement?
This is not required by all states, but it is something that you should do if you plan on starting a business. Here are the main reasons why an operating agreement is necessary:
- Ensures that the courts will respect your personal liability protection because you are showing them that you have been conscientious about organizing your LLC
- Helps to avoid misunderstandings among the owners over finances and management
- Sets out the rules that govern how the profits will be split up, how major business decisions will be made, and the procedures for handling the departure and addition of members
- Allows you to create your own operating rules rather than being governed by the default laws in your state. Which these state laws might not work to your benefit
How are LLCs taxed?
LLCs are not considered a separate entity from its owners for tax purposes. So this means that an LLC does not pay any income taxes itself. Instead what happens is that the owners of the LLC pay taxes on their allocated share of profits or they get to deduct their share of business losses on their personal tax returns. But the thing with an LLC is that you can choose how you want it to be taxed, so you can also choose to have your LLC taxed like a corporation. This can be useful because it can reduce taxes for LLC owners who need to retain a large amount of profits in the company.
Can I convert my existing business to an LLC?
The good news is that yes you can convert your business to an LLC. In fact converting a sole proprietorship or a partnership is an easy way for the business owners to protect their personal assets without changing the way that their business income is taxed. And some states even provide a simple form for converting a partnership to an LLC; this form is usually called a ?Certificate of Conversion?. If your state does not provide this form then you will need to file regular Articles of Organization to create an LLC.
And just like in forming an LLC some states require a partnership to publish a notice in the local newspaper that the partnership is being terminated before the partnership can officially convert to an LLC. But no matter what state you live in you are going to have to transfer all identification numbers, licenses, and permits to the name of your new LLC. Some other things that you will need to transfer over are:
- Federal identification number
- State employer identification number
- Sales tax permit
- Business license or tax registration
- Any professional licenses or permits
What are the differences between a limited liability company and a partnership?
The biggest difference between an LLC and a partnership is that in an LLC the owners are not personally liable for the company?s debts and liabilities. What this boils down to is that creditors cannot go after the owners? personal assets to pay off the businesses? debts. And the only way that this can happen in a partnership is if the partner is designated as a ?limited? partner in the partnership agreement. Another big difference is that when you are forming a partnership you do not need to file any formal paperwork or pay any special fees.

Police, firefighters pay respects in Webster, N.Y.
WEBSTER, N.Y.?? Thousands of police and firefighters are paying respects to a police lieutenant slain in a fiery Christmas Eve ambush on the shore of Lake Ontario in Upstate New York.
The funeral of Lt. Michael Chiapperini, 43, was held Sunday in a high school in the town of Webster, where Chiapperini was also a volunteer fireman. Chiapperini and fellow firefighter Tomasz Kaczowka, 19, were fatally shot by William Spengler early Monday morning when they arrived at a fire that Spengler had set at his lakeside home.
Two other firefighters were wounded before Spengler, 62, killed himself. Spengler had served 17 years for killing his elderly grandmother, beating her head with a hammer.

A long line of police, firefighters, and state troopers, hats clutched across their chests, filed silently past Chiapperini's flag-draped casket in the high school auditorium before the service began.

GOVERNMENT soldiers in the Central African Republic are battling to re-capture a rebel-held city, a military official says, despite regional efforts to seek a peaceful end to the growing crisis.
The military official said the fighting in Bambari, which rebels from the Seleka coalition seized on Sunday, was "especially violent", and a humanitarian source said witnesses some 60 kilometres away could hear detonations and heavy weapons fire for several hours.
The new violence came the same day as the Central African Republic's neighbours took steps to tackle the crisis in the chronically unstable country, where rebels have advanced towards the capital Bangui, stoking local and international alarm.
Foreign ministers in the Economic Community of Central African States (ECCAS) announced late on Friday that more troops of the Central African Multinational Force (FOMAC) would be sent to the country.
"Five hundred and sixty men are already on the ground, and we agreed to a request by the ECCAS general secretariat to increase their numbers and allow them to accomplish their mission as a rapid deployment force", as Seleka rebels threaten the capital, Chad's Foreign Minister Moussa Faki Mahamat said after a meeting in the Gabonese capital Libreville, which is seen as a potential venue for peace talks.
The international force is "to deploy so Bangui and all cities that have not been captured (by the rebels) so far cannot be targeted by the rebels", added Gabon's Foreign Minister Emmanuel Issoze Ngondet.
ECCAS deputy secretary general Guy-Pierre Garcia said earlier that the rebels and the Central African government had agreed to unconditional talks.
"The goal is to get to negotiations (between the government and the rebels) by January 10," a source in the Central African Multinational Force said.
Central African (CAR) President Francois Bozize's appeals for help from former colonial power France and from the United States have fallen on deaf ears.
French Prime Minister Jean-Marc Ayrault said on Friday that France had no intention of getting involved in the crisis, and would only intervene to protect its own nationals there.
The French defence ministry said late on Friday that 150 troops had arrived in Bangui from Libreville as a "precautionary measure" to protect French and other European citizens.
Fears about the deteriorating security situation led Washington to evacuate its embassy in Bangui and the United Nations to pull out staff.
The International Committee of the Red Cross said on Friday that it too had evacuated some workers, although it stressed it would continue to provide aid to the growing number of displaced people.
A diplomatic team from FOMAC has begun talks with authorities in Bangui and sent a delegation to the rebel-held strategic town of Ndele in the north to meet members of the rebel coalition Seleka, which launched its offensive on December 10.
The UN has demanded rebels halt their offensive, and urged Bozize's government to ensure the safety of civilians amid fears of a breakdown in law and order in the country.
A coalition of three rebel movements known as Seleka - or the "alliance" in the Sango language - has taken a string of towns, including four regional capitals, among them the garrison town and key diamond mining hub of Birao.
The coalition wants the government to fulfil the terms of peace pacts signed in 2007 and 2001, providing for disarmament and social reintegration, including pay.
Bozize took power in a 2003 coup and has twice been elected into office.
In 2006, France, which supported Bozize in his rise to power, had lent logistical help and air support to fight off rebels.
While Seleka says it has no plans to move on the capital, a statement last week announcing it had suspended its advance was followed within a day by news of further rebel victories.

Over One Billion Tourists Traveled Internationally ... - Business Insider
The economy seems to be rebounding and that means that more people are traveling.
Over one billion tourists traveled internationally in 2012, according to the UN World Tourism Organization (UNWTO). Another five to six million traveled domestically within their own countries.
This is a record number for international travel. Global tourism has more than doubled since 1990, when 435 million tourists crossed international borders.
Europeans seem to travel the most internationally, with 53 percent of all international visitors coming from Europe. Only 22 percent of international tourists came from Asia, and 17 percent came from the Americas.
Though the UNWTO does not track exactly which countries these people visit, it does track the most popular destinations by continent. The majority of international tourists went to countries in Europe (51 percent), while 22 percent went to Asia/Pacific and 16 percent traveled to the Americas.
The UNWTO has launched a campaign to capitalize on this growth in international tourism called 1 Billion Tourists, 1 Billion Opportunities. They're encouraging tourists to act responsibly by buying locally, respecting local culture, using public transportation, and protecting heritage sites.
International tourism is one of the world?s largest economic sectors, accounting for 9% of global GDP (direct, indirect and induced impact), one in every 12 jobs, and six percent of world trade, according to the UNWTO.?

"The Charoen Pokphand Group would like to officially clarify as follows: The acquisition of shares were legal - the source of capital is transparent," the group said in a statement yesterday.On December 5, All Gain Trading, Bloom Fortune Group, Business Fortune Holdings and Easy Boom Developments signed an agreement to transfer shares of Ping An Insurance from the seller HSBC Insurance Holdings and the Hong Kong and Shanghai Banking Corporation. The deal raised eyebrows as it was valued at US$9.4 billion or 73.32 billion Hong Kong dollars (Bt288 billion).
"All four companies are subsidiaries of CP which CP fully owns," CP Group insisted. "Furthermore, this acquisition was conducted with legal capital from the Charoen Pokphand Group and its subsidiaries."
It also said that since the People's Republic of China opened up its economy in 1979, CP had cooperated well with its government. CP was the first foreign entity to invest in China and throughout the years, CP had upheld Beijing's three agricultural-development policies as well as the "Three Benefits Principle" (benefit to the country, benefit to the people and benefit to the company).
In addition, CP said, it had continually reformed agricultural management such as expanding farmland, setting strict standards and modernising agriculture.
It said it was confident in the development of Ping An Insurance and aimed to collaborate with the company to develop every sector in the rural area, in line with the policy of modernising China's agricultural sector.
It was reported by Chinese media this week that Thaksin might have taken part in the acquisition of Ping An Insurance.
Caixin Media's Century Weekly magazine reported, quoting sources, that about a third of the HK$15.2-billion (Bt60-billion) first tranche of the purchase was funded by the Shinawatra family, while the rest came from businessman Xiao Jianhua.
Xiao is the founder of several banking and securities firms and has also invested in some. He is reportedly close to former top Chinese government leaders and securities watchdog officials. Century Weekly said his purchase of the Ping An stake was funded by three commercial banks he has links to.

In the name of protection of intellectual property rights that include movies, songs and other products of actors, filmmakers, singers and music publishers, SOPA and PIPA agitated and earned the ire of the internet world with its inconsiderate stance. It led to worldwide protests online and offline. With the proposed laws enacted, many websites which are resources for information and materials will be inaccessible for business, domestic and professional purposes. For a simple query like how to replace the battery of a mobile phone, the average citizen may have to access a ?legal? website that charges a few cents for an answer or take a subscription which may only be used once or twice a month. Would it not be absurd, at the least?
If the sizable legislative funds from the entertainment industry successfully pass SOPA and PIPA as enforceable laws, America will be well on its way to becoming the Father of Serfdom and Money-crazy from its original Father of Freedom and Democracy renown.

Holiday travelers stranded as storm heads east
As tornadoes ripped through the South, more than a foot of snow was dumped over parts of the Midwest, making for a post-Christmas travel nightmare. NBC's Mike Seidel reports.

A wicked winter storm was sweeping east across the United States Wednesday, creating a post-holiday travel nightmare with more than a foot of snow in some places and thousands of flights canceled or delayed.
"Blizzard warnings stretch for?730 continuous miles?due to Winter Storm Euclid,"?The Weather Channel?s?Tom Niziol reported.
The white-out came a day after a Christmas storm unleashed heavy snow, deadly winds and even some tornadoes on the nation?s midsection, killing at least three people.
As millions of Americans braced for snow, rain, ice or more twisters, nearly 2,000 flights had been canceled and 10,000 were delayed, many at Dallas/Fort Worth, Philadelphia International, and Cleveland's Hopkins International, according to the travel website FllightStats.com. American Airlines had to cancel 500 flights, while Delta scrapped 200.?

The forecast called for heavy snow from Indiana to New York and by mid-afternoon it was piling up: The National Weather Service reported 14.5 inches in Marion, Ill.; 11.8 inches in Bloomfield, Ind.; 9 inches in Brookville, Ohio; 7 inches in Bardwell, Ky.; and Frostburg, Md. Up to 3 inches of rain had fallen in North and South Carolina.
After the storm socked little Albion, Ill., with 18 inches of snow, city worker Renee Galen?s SUV got stuck and she got to her office the only way she could.
On one of the busiest travel days of the year, bad weather has forced airlines to cancel or delay flights. NBC's Katy Tur reports.
"One of the city guys came by with a snowplow and I flagged him down and rode to work with him," Galen told NBC News.
"I had to get to work because today was the last day to file for city elections. Believe it or not, I?ve had three people come in to file."
In Indianapolis, seven inches of snow fell in three hours Wednesday morning, bringing post-Christmas shopping to a halt, the Indianapolis Star reported.?
Stephen Canter, 44, ventured out before 8 a.m., and the roads were thick with snow when he headed back 30 minutes later.
"By the time I got home, the street was covered," he told the newspaper. "I don't remember snow like this since Valentine's Day of 2007."
Indiana State Police received 100 calls of crashes or cars sliding off roads before noon and warned motorists that if they got into trouble it could take a while to get them help, NBC affiliate WTHR.com reported.?
Cars and several 18-wheelers were stuck in the ice along 1-70, and the snow fell faster than crews could clear the roads.
"The biggest problem is the blowing. We got some high winds and the roads are really beginning to drift bad," Ron Sharp with Wayne County Emergency Management told the station.
Parts of New York, Ohio and Pennsylvania are also forecast to get hit with more than a foot of snow, and New England could get up to a foot.
The blizzard warning in Ohio prompted United Airlines to cancel at least 60 percent of their flights at?Cleveland?Hopkins Airport beginning at noon on Wednesday, according to?NBC affiliate WKYC.com. About 1,000 people spent the night on cots at Dallas/Fort Worth after their Tuesday night and Wednesday morning flights were scrapped.
Hundreds of flights delayed, canceled as holiday storms travel across country
With Rochester, N.Y., slated to get up to a foot of snow, hordes of worried residents descended on the hardware stores.
?Un-freaking-believable! We?ve sold 225 shovels since 9 o?clock this morning,? said Tom Green, owner of Mayer Paint and Hardware. ?Rock salt ? I couldn?t tell you how many thousands of pounds I?ve sold today. People are very concerned.?
Green noted that snowstorms are hardly rare in Rochester.
?But this is the first big one,? he said. ?And it?s happening at Christmas.?
The weather system, which started over the weekend, wreaked havoc on Christmas. It knocked out power to tens of thousands of people and was blamed for at least five deaths.
In Enola, Ark., two toddlers were killed when a car lost control on an ice-slicked highway and spun into oncoming traffic, state police said.
Wind-toppled trees killed a pickup truck driver near Houston, Texas, and a 53-year-old man in north Louisiana. NBC affiliate KJRH reported?that?a 28-year-old woman was killed in a crash on a snowy highway near Fairview, Okla.
Christmas Day tornadoes ?- the preliminary count was at least 21, according to the Weather Channel -- battered Southern states.?And Little Rock, Ark., didn?t just have a rare white Christmas ?- it had its snowiest day ever, with nine inches on the ground.
The storms contributed to a 21-vehicle pile-up Tuesday that shut down a major highway in Oklahoma City, as well as tens of thousands of power outages. Emergency service provider MedStar told?NBCDFW.com?it responded to 71?crashes in the Fort Worth area between 5 p.m. and 9:50 p.m. Tuesday evening.
As it tracked east, authorities were taking the storm seriously.
In Indianapolis, Mayor Greg Ballard ordered "non-essential" workers to stay home and off roads. Cleveland asked businesses to send workers home by 1:30 p.m., NBC affiliate WKYC.com reported.?Homeowners in coastal Long Island, ravaged by Superstorm Sandy in October, were told to take precautions to prevent flooding with seas expected to peak at 15 feet, NBCNewYork.com reported.
By the time it leaves the New England coast Friday, the storm will have left snow from coast to coast ?- and there could be another wallop coming soon.
Weather Channel meteorologist Guy Walton said a weather pattern with the potential to become Winter Storm Freyr is poised to enter the West Coast on Wednesday and move through the Rockies on Thursday. It could then head for the lower Mississippi Valley, then the Southeast and hit the Northeast on Sunday.

(CNN) ? The National Rifle Association made clear Sunday it will not budge on its opposition to any new gun laws, despite heated criticism of the organization?s response to the Connecticut school massacre.
?I know this town wants to argue about gun control,? the group?s CEO, Wayne LaPierre, told NBC?s ?Meet the Press? in Washington. ?I don?t think it will work.?
LaPierre stood by remarks he made at an event Friday billed as a news conference ? though he took no questions ? in which he argued for armed guards in schools.
?If it?s crazy to call for putting police and armed security in our schools to protect our children, then call me crazy,? he said on Sunday.
He added that in Friday?s news conference, ?I said what I honestly thought and what millions, and hundreds of millions, of people all over this country believe will actually make a difference.?
?We?re going to support an immediate appropriation before Congress to put police officers in every school,? he vowed.
Legislation being pushed by Sen. Dianne Feinstein, D-California, to restore an assault weapons ban is not going to make kids any safer, LaPierre insisted.
Pressed on whether high-capacity magazines should be banned, limiting the number of bullets that can be fired from a single weapon without reloading, LaPierre said no. ?There are so many different ways? that a ?monster? could carry out a massacre, as Adam Lanza did in Newtown, Connecticut, LaPierre argued.
He would not express support for any new gun restrictions, saying most gun laws on the books are currently rarely enforced.
?I know there?s a media machine in this country that wants to blame guns every time something happens,? he said, adding, ?I know there?s an anti-Second Amendment industry in this town.?
The NRA supports efforts to improve mental health care in the country in hopes of avoiding such nightmare scenarios, LaPierre said.
Meanwhile, Asa Hutchinson, the man charged with developing the NRA?s program to place armed guards in schools, told CNN his ?high-level panel of experts? will present educators with safety options and detailed instructions.
Sen. Joe Lieberman, an independent from Connecticut, told CNN, ?I have found the statements by the NRA over the last couple of days to be really disheartening, because the statements seem to not reflect any understanding about the slaughter of children that happened in Newtown. ?
?The NRA spokespeople have been willing to deal with every possible cause of gun violence, except guns. They?re right that there?s a problem for our society ? how do you spot a child or a person who is troubled before they become a killer? What?s the influence of violence in our entertainment culture on people? But it?s obviously also true that the easy availability of guns, including military-style assault weapons, is a contributing factor, and you can?t keep that off the table. I had hoped they?d come to the table and say, everything is on the table.?
Lanza shot his way into Sandy Hook Elementary in Newtown and killed 20 children ? none of them older than 7 ? and six adults. He used a Bushmaster AR-15 rifle to mow down his victims before killing himself with one of the two handguns he was carrying.
On Friday, a week after the shooting, LaPierre spoke out for the first time on the massacre, blaming video games and the media, while also proposing an armed guard in every U.S. school. ?The only thing that stops a bad guy with a gun is a good guy with a gun,? he said.
Some gun owners and mostly Republican officials rallied around LaPierre, and some ? such as Texas Gov. Rick Perry ? have indicated they support putting armed guards, or even teachers with concealed weapons, in schools.
CNN iReporter Jason Asselin applauded the NRA?s stance, proposing that U.S. troops returning from war zones could serve as armed guards. ?Right now, our schools remain unprotected,? he said. ?Action is needed. Our children deserve to be protected.?
But most of the reaction to LaPierre was negative.
Democratic Sen.-elect and U.S. Rep. Chris Murphy, whose district includes Newtown, called LaPierre?s words ?the most revolting, tone-deaf statement I?ve ever seen.? New York Mayor Michael Bloomberg, an independent, blasted them as ?a shameful evasion of the crisis facing the country.? And former Republican National Committee Chairman Michael Steele said he found the remarks ?very haunting and very disturbing.?
This wave of criticism continued into the weekend.
New York?s tabloids, normally political polar opposites, offered the same take: The Daily News? headline called LaPierre the ?Craziest Man on Earth,? while Rupert Murdoch?s New York Post ran with, ?Gun Nut! NRA loon in bizarre rant over Newtown.?
Rick Huffman, another CNN iReporter and a retired police officer, cut up his NRA membership card in the wake of the mass shooting, which he said changed his views on gun control.
?There?s got to be a limit to what they let citizens have at their disposal,? the Michigan resident said.
Both sides, at least, appear to agree something needs to be done to prevent more mass shootings like what happened December 14 in the once quiet Connecticut town. President Barack Obama used his speech at a prayer service for the massacre?s victims to call for action and subsequently tapped Vice President Joe Biden to lead a group charged with coming up with solutions.

Pot farms wreaking havoc on Northern California environment
EUREKA, Calif. ? State scientists, grappling with an explosion of marijuana growing on the North Coast, recently studied aerial imagery of a small tributary of the Eel River, spawning grounds for endangered coho salmon and other threatened fish.
In the remote, 37-square-mile patch of forest, they counted 281 outdoor pot farms and 286 greenhouses, containing an estimated 20,000 plants ? mostly fed by water diverted from creeks or a fork of the Eel. The scientists determined the farms were siphoning roughly 18 million gallons from the watershed every year, largely at the time when the salmon most need it.
"That is just one small watershed," said Scott Bauer, the state scientist in charge of the coho recovery on the North Coast for the Department of Fish and Game. "You extrapolate that for all the other tributaries, just of the Eel, and you get a lot of marijuana sucking up a lot of water.? This threatens species we are spending millions of dollars to recover."
The marijuana boom that came with the sudden rise of medical cannabis in California has wreaked havoc on the fragile habitats of the North Coast and other parts of California. With little or no oversight, farmers have illegally mowed down timber, graded mountaintops flat for sprawling greenhouses, dispersed poisons and pesticides, drained streams and polluted watersheds.
Because marijuana is unregulated in California and illegal under federal law, most growers still operate in the shadows, and scientists have little hard data on their collective effect. But they are getting ever more ugly snapshots.
A study led by researchers at UC Davis found that a rare forest carnivore called a fisher was being poisoned in Humboldt County and near Yosemite in the Sierra Nevada.
The team concluded in its July report that the weasel-like animals were probably eating rodenticides that marijuana growers employ to keep animals from gnawing on their plants, or they were preying on smaller rodents that had consumed the deadly bait. Forty-six of 58 fisher carcasses the team analyzed had rat poison in their systems.
Mark Higley, a wildlife biologist on the Hoopa Indian Reservation in eastern Humboldt who worked on the study, is incredulous over the poisons that growers are bringing in.
"Carbofuran," he said. "It seems like they're using that to kill bears and things like that that raid their camps. So they mix it up with tuna or sardine, and the bears eat that and die."
The insecticide is lethal to humans in small doses, requires a special permit from the EPA and is banned in other countries. Authorities are now regularly finding it at large-scale operations in some of California's most sensitive ecosystems.
It is just one in a litany of pollutants seeping into the watershed from pot farms: fertilizers, soil amendments, miticides, rodenticides, fungicides, plant hormones, diesel fuel, human waste.
Scientists suspect that nutrient runoff from excess potting soil and fertilizers, combined with lower-than-normal river flow due to diversions, has caused a rash of toxic blue-green algae blooms in the North Coast rivers over the last decade.
The cyanobacteria outbreaks threaten public health for swimmers and kill aquatic invertebrates that salmon and steelhead trout eat. Now, officials warn residents in late summer and fall to stay out of certain stretches of water and keep their dogs out. Eleven dogs have died from ingesting the floating algae since 2001.
The effects are disheartening to many locals because healthier salmon runs were signaling that the rivers were gradually improving from the damage caused by more than a century of logging.
"Now with these water diversions, we're potentially slamming the door on salmon recovery," said Scott Greacen, director of Friends of the Eel River.
In June, Bauer and other agency scientists accompanied game wardens as they executed six search warrants on growers illegally sucking water from tributaries of the Trinity River. At one, he came upon a group of 20-somethings with Michigan license plates on their vehicles, camping next to 400 plants. He followed an irrigation line up to a creek, where the growers had dug a pond and lined it with plastic.
"I started talking to this guy, and he says he used to be an Earth First! tree-sitter, saving the trees," Bauer said. "I told him everything he was doing here negates everything he did as an environmentalist."
The man was a small-timer in this new gold rush. As marijuana floods the market and prices drop, many farmers are cultivating ever bigger crops to make a profit. They now cut huge clearings for industrial-scale greenhouses. With no permits or provisions for runoff, the operations dump tons of silt into the streams during the rainy season.

Game On - Singular Scene
Over the years I?ve made my peace with those quirks in my nature that out me completely as a ?nerd?, or if you prefer a ?geek?. The funny thing is, those qualities were ?dormant for years, rearing their heads on occasion, but never firmly pushing me over the edge into that [previously scary] territory wherein being a geek/nerd/gamer was completely socially unacceptable.
I?m kinda glad that geek is chic these days. I feel less weird about the fact that I spent all day yesterday afternoon watching end to end episodes of ?The Guild? while my nose was completely buried in ?The Room?.**
It?s on the basis that it?s the top game for iPad in 2012 that I downloaded the Room yesterday. And it?s worthy of the title. So worthy I played it all the way through over a number of hours yesterday afternoon, and loved it so much I reset it and played it all the way through again this morning.
I love it because it takes me right back to those early days of computer gaming that first pegged me as a nerd/geek/gamer way back in the early 90s. It has puzzles, teasers and all the tricks that are completely absorbing (not to mention stunningly beautiful graphics that blow you away on the retina iPad) and is absolutely my favourite kind of computer game. Which leads me to reminisce for a minute or two about those other computer games that have captured me over the years?
Initially it was those early DOS games? such 8bit goodness in video and sound!! Aaaah, the memories?
The first one I came across (read fell in love with was) Hugo?s House of Horrors, followed by Hugo 3 Jungle of Doom (Suzy, I remember playing that with you for some reason?). It wasn?t until much later that I found Hugo 2:Whodunnit and played it on some DOS emulator? well and truly after its first release? still very clever even when it was long passed over as archaic!
Where in the World is Carmen San Diego was one of the first games I played on Windows. Very early Windows and it was the highlight of one of my babysitting gigs? the kids I looked after owned it so it was a great day when I got to go over and hang out with them? playing Carmen well and truly into the night hours after they?d gone to bed! My favourite things.. mystery and international travel? all in one wee game. I?ve never seen it in the years since.. is it still out there??
Somewhere in the middle of all this, I was introduced to the Neverhood (I think it was my brother-in-law who found it). ?Gosh, whenever I pull this disc out I get nostalgic for all the kids I?ve introduced it to over the years, it?s?another?game that could use an outing on the iPad. It?s just so flipping awesome? if only because it?s completely built in claymation and follows an everyman hero through a journey to save his world. ?It?s perfect for adults and children and if you have a chance, and the right equipment, you should definitely try and get?your?hands on it.
I think I hit a bit of a lull after that, I moved north, didn?t have access to games or a computer other than in the context of work so I didn?t pick up any kind of games again until 2000 when I was introduced to the LucasArts games by the geek I was nannying for. ?He hooked me up with some great games that his kids and I played through (not sure who was the bigger kid at that point) and through them I fell in love with the Myst, the Monkey Island Series and with Grim Fandango (see below). They introduced me to this whole genre of adventure games and I was hooked and for as long as I have had a computer? (which he generously hooked me up with as well (nerd, built one for me from spare parts. Genius)) these have been my games of choice. ?None of this First Person Shooter malarkey, just good old fashioned brain bending puzzles!!!
Once I had a machine of my own I picked up the early Monkey Island games, Secret of Monkey Island, Monkey Island 2: LeChuck?s revenge, The Curse of Monkey Island, the aforementioned kids and I played Monkey Island 4: Escape from Monkey Island together, and my nephews and I are slowly working our way through Monkey Island 5: Tales of Monkey Island whenever I go back to NZ.
I?m doing my best to turn them into game nerds too? much to their parent?s chagrin.
[as an aside... I also got into SimCity and Caesar IV - but only lasted as long as it took to build a city that would then need strategic defense... Then it got boring.]
Grim Fandango would pretty much be my hands down favourite of that era, as much as the Monkeys are cool, Grim just tickled my sense of humour and my style. ?It?s another adventure game but one whose look and feel is straight out of film noir though is set with themes, figures and motifs from Aztec belief in the afterlife (underworld, day of the dead? sounds dreadful? really is awesome ? geek much?). ?The game play is set around Manny Calavera, a courier who shuttles people from death into the afterlife, the class of the journey determined by the deeds of the deceased while in the land of the living. ?You kinda have to be there, but I have an old windows machine and a copy of Grim that I pull out every couple of years, just for the hell of it. It really is a great game!! Wonder if it, like the monkeys, will get another life on the iPad? (fingers crossed).
The other game series I was introduced to in those nannying years was MYST, an absolute classic of the genre and still really highly regarded as one of the better puzzle adventure series out there.
I played MYST 1 with those aforementioned kids and went on to play Riven, Exile, Revelation and End of Ages (still haven?t finished that one). They?re incredibly challenging and these days, due to time constraints I never really can sit down and just play through, even with a walkthrough to speed things up. But they are beautiful to look at and so, so cleverly put together.
There are elements of the Room that remind me of playing that first MYST game, the puzzles are challenging but?accessible, there is no need to be jumping back and forth to guides to get where you need to go, just a bit of patience and some lateral thinking.
Finally, I was outed as a gamer to one of the pastors in my old church, also an unashamed PC gamer who loves Adventure Games like I do? he handed me down a bunch of his old favourites, some I?m still yet to get through but among them are Schizm, Mysterious Journey 1&2, and Riddle of the Sphinx (aah, Egypt and adventures, what?s not to love!).
I never got into consoles, have never owned a Nintendo DS or any of those other ?gaming only? type devices, I suspect that what would happen if I did is that I?d lose myself in games never to be found again, or, if my iPhone habits are to be believed, I?d spend a fair bit of cash on games that I get sick of before I complete them leaving it like my iPhone, cluttered with unused apps that will likely never see the light of day again and no small amount of money wasted?
As it is, if companies keep cooking up games as good as the Room then I?m satisfied the genre isn?t going?anywhere?yet, and if we?re?lucky? Adventure Gaming will have a whole new renaissance and a whole new crop of young?adventurous?geeky followers? stuff it, let?s just say ?young at heart??adventurous?geeky followers?
I shall unashamedly name myself among them.

**As an aside, for those who are uninitiated, ?The Guild? is a web tv series made by uber chick geek Felica Day which has run for 6 seasons and which celebrates all things MMORPG (massive multi-player online role playing game ? think World of Warcraft).
